Non-payment may result in suspension.

- Client Content: Owned by you.
- D‑App Online IP: Owned by us, including source code, tools, designs, unless otherwise agreed.
7. Confidentiality
Both parties must keep proprietary information confidential beyond contract termination.
8. Warranties & Disclaimers
Services are provided “as is”, without guarantees of uninterrupted or error-free operation.
We are not liable for indirect, incidental, or consequential damages.
9. Limitation of Liability
Liability is limited to the amount paid for the Services in the last 6 months before the claim.
10. Indemnification
You agree to indemnify D‑App Online for:
- Service misuse
- Violations of these Terms
- Breach of third-party rights
11. Termination
We may suspend or terminate services for:
- Terms violation
- Non-payment
- Or for convenience with notice
Upon termination, all usage rights end.
12. Privacy
Use of Services is governed by our Privacy Policy.
13. Third-Party Services
We are not responsible for third-party integrations or platforms.
14. Governing Law
These Terms are governed by the laws of England and Wales, with exclusive jurisdiction of its courts.
15. Changes to Terms
We may revise these Terms. Continued use post-change means acceptance.

📄 Service Level Agreement (SLA) Template
1. Scope of Service
Covers support, maintenance, and uptime commitments for services delivered by D‑App Online.
2. Uptime Guarantee
We guarantee 99.5% monthly uptime for hosting and critical services.
3. Support Availability

📄 Data Processing Agreement (DPA) Template
This DPA supplements the Terms of Service where D‑App Online processes personal data on your behalf in accordance with GDPR (UK and EU).
1. Data Processing Details

- Data Types: Client data, end-user data
- Duration: Until termination of services
2. Data Subject Rights
We will assist in facilitating requests from data subjects under GDPR (access, rectification, erasure, etc.).
3. Security Measures
We implement:

4. Sub-processors
We use select sub-processors; a current list is available on request. You will be informed of any changes.
5. Data Transfers
Any data transferred outside the UK/EU will follow appropriate safeguards (e.g., Standard Contractual Clauses).
6. Breach Notification
We will notify you of any data breach within 72 hours of becoming aware.
7. Termination
Upon termination, all personal data will be returned or securely deleted upon request.
